1. Agreement to Terms

By accessing or using the InnoNexus website and services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.

2. Services Description

InnoNexus provides software development services including but not limited to blockchain development, AI/ML solutions, web development, and mobile application development. The specific scope, timeline, and deliverables for each project will be defined in individual project agreements.

3. Intellectual Property

Unless otherwise specified in a project agreement:

• All intellectual property created during a project belongs to the client upon full payment.
• InnoNexus retains the right to use general knowledge, skills, and experience gained.
• InnoNexus may use anonymized project descriptions and images for portfolio and marketing purposes.
• Pre-existing intellectual property owned by InnoNexus remains the property of InnoNexus, with a license granted to the client as needed.

4. Payment Terms

Payment terms are defined in individual project agreements. Generally:

• A deposit is required before work begins.
• Payments are typically made at project milestones.
• Late payments may result in project delays or suspension.
• All prices are exclusive of applicable taxes unless otherwise stated.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any agreement.

6. Limitation of Liability

InnoNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service in question.

7. Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes shall be resolved through arbitration or in courts of competent jurisdiction.

9. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after changes constitutes acceptance of the modified terms.
